Terms of Service

Introduction
This Terms of Service (“Agreement”) governs the subscription services provided by Milhoan Design, a DBA of Yonsei, LLC, an S-Corporation located in the State of Montana (“Company,” “we,” “our,” or “us”), to its clients (“Client,” “you,” or “your”). By subscribing to one of our plans (“Services”), you agree to the terms set forth below.
1. Subscription Plans
We offer the following subscription plans:
1.1 Starter Plan
- Includes the development of a custom Airtable or Notion database.
- Provides up to 16 hours per month for database updates, light Webflow CMS edits, Shopify or Webflow bug fixes, and general maintenance.
- Email support is included with a 72-hour response time.
- Cost: $2,500 per month.
1.2 Growth Plan
- Includes the development of a simple marketing or e-commerce site (Home, About, Team, Blog, Contact).
- Provides up to 33 hours per month for database customization, Webflow CMS management, Shopify product updates (up to 10 products/month), and support.
- Priority email support with a 24-hour response time.
- Monthly performance report and consultation.
- Cost: $5,000 per month.
1.3 Premium Plan
- Includes the development of a Webflow or Shopify site with unlimited pages.
- Provides up to 66 hours per month for full-stack development, advanced integrations, membership site setup, and support.
- Includes a dedicated Slack channel for real-time communication and bi-weekly strategy meetings.
- Priority support with same-day response times.
- Cost: $10,000 per month.
2. Payments and Billing
- All subscription fees are billed monthly in advance and are non-refundable.
- Payments are conducted via Stripe and are automatically withdrawn from the account on file.
- Late payments may result in suspension of Services.
3. Client Responsibilities
- You agree to provide all necessary access, content, and timely approvals required for us to deliver the Services.
- You are responsible for ensuring the accuracy and completeness of any materials provided.
4. Scope of Work
- The Services included in each plan are limited to the specific deliverables outlined above. Additional hours or services outside the plan’s scope will be billed at the standard rate of $150/hour and require prior approval.
5. Intellectual Property
- All deliverables created during the term of this Agreement are the property of the Client upon full payment. We retain the right to showcase non-confidential work in our portfolio unless explicitly prohibited.
6. Term and Termination
- This Agreement begins upon subscription and continues on a month-to-month basis.
- Either party may terminate this Agreement with 7 days' written notice (email or Slack).
- Upon termination, any outstanding fees for Services rendered must be paid in full.
7. Limitation of Liability
- To the fullest extent permitted by law, the Company shall not be liable for any indirect, incidental, or consequential damages arising from the use or inability to use the Services.
- Our total liability for any claim under this Agreement is limited to the amount paid by you for the Services in the month preceding the claim.
8. Confidentiality
- Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the term of this Agreement.
- This clause survives termination of the Agreement.
9. Governing Law
- This Agreement shall be governed by and construed in accordance with the laws of the State of Montana, without regard to its conflict of laws principles.
10. Amendments
- We reserve the right to update these terms at any time. Clients will be notified of changes via email or through the subscription portal. Continued use of the Services after any changes constitutes acceptance of the revised Terms of Service.
